These Terms of Service (“Terms”) govern your access to and use of the AdPlunge platform, services, website, APIs, SDKs, and any associated products (collectively, the “Services”) offered by AdPlunge (“we”, “us”, “our”).

By registering for or using the Services, whether as a Publisher, Advertiser, or Partner (“you”, “your”) , you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Eligibility & Account Registration

1.1 You must be at least 18 years old (or the age of majority in your jurisdiction) and have full legal capacity to enter into this agreement.
1.2 You agree to provide accurate, current, and complete account information. You are responsible for safeguarding your account credentials and all activities that occur under your account.
1.3 AdPlunge reserves the right to refuse registration, suspend, or terminate your account at its discretion.


2. Service Overview

2.1 AdPlunge connects Publishers and Advertisers through a variety of digital ad formats including display banners, pop-unders, video, native, and interstitial ads.
2.2 Publishers earn revenue by integrating our ad tags, code, or SDK and displaying advertisements. Advertisers use the platform to reach targeted audiences through publisher inventory.
2.3 AdPlunge may modify, suspend, or discontinue any aspect of the Services at any time with or without notice.


3. Publisher Obligations

3.1 Content & Traffic Quality
Publishers must ensure that their websites, apps, and inventory comply with AdPlunge’s Content & Traffic Policy. Traffic must be organic, genuine, and free of fraud, bots, or manipulation.

3.2 Prohibited Content
Publishers must not distribute, host, or link to content that:

  • Is illegal, pornographic, hateful, violent, or discriminatory.
  • Promotes fraud, scams, drugs, or copyright infringement.
  • Contains malware, adware, spyware, or any harmful code.

3.3 Integration Requirements
Publishers must integrate AdPlunge’s code exactly as provided. Ads must be displayed in approved placements and may not be altered, hidden, or manipulated in any way.

3.4 Compliance with Law
Publishers are responsible for ensuring compliance with all applicable laws, including privacy, consumer protection, and data protection regulations.


4. Advertiser Obligations

4.1 Ad Content
Advertisers must ensure that all ads, offers, and landing pages are truthful, non-deceptive, and compliant with applicable laws and industry standards.

4.2 Campaign Configuration
Advertisers must set up targeting, bidding, and budgets responsibly and in accordance with AdPlunge’s guidelines.

4.3 Payments
Advertisers agree to pay all fees and campaign costs promptly as per the payment schedule outlined in their accounts. Failure to pay may result in account suspension or termination.


5. Payments & Payouts

5.1 Publisher Payments

  • Payments will be made according to the schedule, method, and minimum payout threshold shown in your AdPlunge account.
  • AdPlunge reserves the right to withhold or adjust payments if fraudulent, invalid, or non-compliant traffic is detected.

5.2 Advertiser Billing

  • Advertisers are billed according to their campaign performance and agreed terms.
  • AdPlunge reserves the right to suspend campaigns for non-payment.

5.3 No Retroactive Guarantees

  • Rates and earnings may vary based on demand, geography, and other market factors. Past earnings do not guarantee future performance.

6. Fraud & Traffic Integrity

6.1 AdPlunge maintains a zero-tolerance policy toward fraud. This includes but is not limited to:

  • Automated traffic or bot-generated impressions.
  • Click or conversion manipulation.
  • Hidden ads, forced redirects, ad stacking, or pop-ups without consent.

6.2 AdPlunge reserves the right to suspend or terminate any account found engaging in such activity and withhold associated payments.

6.3 Publishers agree to cooperate fully in any fraud investigation and provide access to logs or other data if requested.


7. Intellectual Property

7.1 AdPlunge retains full ownership of its platform, software, technology, trademarks, and intellectual property (“AdPlunge IP”).
7.2 You are granted a limited, non-exclusive, non-transferable license to use the Services solely as intended.
7.3 You grant AdPlunge a non-exclusive, royalty-free license to display and use your ads, creatives, and promotional content solely for the purpose of delivering the Services.
7.4 Any feedback or suggestions you submit may be used by AdPlunge without compensation.


8. Privacy & Data Protection

8.1 Your use of AdPlunge is subject to our Privacy Policy.
8.2 You must comply with all data protection and privacy regulations applicable in your jurisdiction, including GDPR, CCPA, and others as relevant.
8.3 AdPlunge uses cookies and tracking technologies to deliver and optimize ads. By using the Services, you consent to such use.


9. Termination

9.1 These Terms remain in effect until terminated.
9.2 You may close your account at any time by notifying AdPlunge.
9.3 AdPlunge may suspend or terminate your account without prior notice if you violate these Terms or engage in activity deemed harmful or fraudulent.
9.4 Upon termination, access to your dashboard and services will cease. Pending payments may be withheld if termination results from your breach.


10. Disclaimers & Limitations of Liability

10.1 The Services are provided “as is” and “as available.” AdPlunge does not warrant uninterrupted or error-free operation.
10.2 To the maximum extent permitted by law, AdPlunge is not liable for indirect, incidental, or consequential damages, including lost profits, data loss, or business interruption.
10.3 AdPlunge’s total liability for any claim shall not exceed the greater of (a) US $100 or (b) the total amount paid or payable to you in the three months prior to the claim.


11. Indemnification

You agree to indemnify and hold harmless AdPlunge, its officers, employees, and affiliates against any claims, damages, or losses arising out of your:
(a) breach of these Terms,
(b) misuse of the Services,
(c) violation of applicable laws, or
(d) content, traffic, or ad materials.


12. Modifications to the Terms

AdPlunge may update these Terms from time to time. Updates will be posted on the website or within your dashboard. Continued use after such updates constitutes your acceptance of the revised Terms.


13. Governing Law & Dispute Resolution

13.1 These Terms are governed by and construed under the laws of The Republic of South Africa.
13.2 Any disputes shall be resolved through binding arbitration or in a court of competent jurisdiction in The Republic of South Africa.
13.3 The parties waive any right to participate in class-action lawsuits where permitted by law.


14. General Provisions

14.1 Assignment – You may not transfer your rights or obligations under these Terms without AdPlunge’s written consent.
14.2
Severability – If any clause is found invalid, the remainder shall remain enforceable.
14.3
Entire Agreement – These Terms, together with the Privacy Policy and any supplemental agreements, constitute the full agreement between you and AdPlunge.
14.4
No Waiver – Failure to enforce any right does not waive that right.
14.5
Independent Relationship – Nothing in these Terms creates a partnership or agency relationship between you and AdPlunge.


Supplement A – Content & Traffic Policy

A. Prohibited Activities

  • Fraudulent or manipulated traffic.
  • Use of bots, automated clicks, or proxy servers.
  • Misleading or deceptive ads.
  • Placement of ads within downloadable files or deceptive redirects.
  • Content involving violence, adult material, hate speech, or illegal activities.

B. Publisher Responsibilities

  • Clearly label ads when required by law.
  • Ensure ads do not block or obscure core content.
  • Maintain a clean, malware-free website or app environment.
  • Comply with all applicable data and ad disclosure requirements.

C. Enforcement
AdPlunge reserves the right to suspend, restrict, or terminate accounts, withhold earnings, or disable ad delivery if any violations are detected.
